1. One marketplace inventory model
Physical products, food, accommodation, movie and event tickets, activities, experiences, transport and services are ordinary marketplace listings. Listing type controls availability, attendee, passenger, booking or fulfilment details; it does not create a separate reward product or separate financial ledger.
A new category may use the same checkout, reward-policy, order, payable and settlement controls once its operating requirements and feature access are approved.
2. SpenVest Network Partners
A “SpenVest Network Partner” is an approved participating business whose eligible listings may accept SpenVest rewards. Applying or creating a merchant account does not itself activate cross-merchant redemption.
Activation requires business verification, acceptance of a commercial schedule, an approved reward policy, a verified settlement destination and any category-specific licences or documents. SpenVest may pause a partner or listing for risk, consumer, reconciliation or legal review.
3. Rewards and customer value
SpenVest rewards are promotional, non-cash and non-transferable unless an approved programme expressly says otherwise. They are not legal tender, a deposit account or a promise of cash withdrawal.
Eligibility, earning rate, redemption cap, expiry and exclusions are resolved by the applicable platform, campaign, partner, category and listing policies at checkout. The customer sees the amount before confirmation. A reward can be issued only from captured partner funding or an explicitly approved platform-funded campaign.
4. Orders, bookings and tickets
The customer must review listing details, dates, times, guests, passengers, ticket restrictions, cancellation terms and fulfilment method before confirming. The Network Partner is responsible for the accuracy, legality, availability and delivery of its listing.
Availability is reserved for a limited checkout period. A booking, seat or unit is not confirmed until the authoritative checkout reaches its confirmed state. Externally fulfilled inventory must fail closed when the external supplier cannot confirm availability.
5. Cancellations, refunds and disputes
The cancellation rule displayed on the listing and checkout applies, subject to mandatory consumer rights. If a confirmed order is cancelled or refunded, associated rewards, inventory and merchant payables may be reversed through linked ledger entries rather than edited or deleted.
Customers should first contact the fulfilling partner. SpenVest may place a settlement hold while a refund, chargeback, fraud signal, fulfilment complaint or reconciliation mismatch is investigated. Contact support through the Nepal contact page.
6. Partner settlement schedule
An approved Network Partner may select weekly, fortnightly or monthly settlement scheduling. The selected cadence controls when eligible payables are gathered into a settlement batch; it does not make an ineligible, disputed or held amount payable.
Each statement identifies the settlement period, gross eligible reimbursements, refunds, platform and payment fees where applicable, adjustments, net payable, source orders and redemptions, payout attempts and reconciliation state.
A batch shown as “processing” is not a completed bank payment. SpenVest shows “paid” only after an authorised operator confirms a unique external provider reference. Failed attempts remain traceable and may be retried without duplicating the underlying payable.
7. Fees and invoices
The public pricing page describes the standard Nepal model. A signed partner schedule controls the applicable subscription, marketplace service fee, taxes, payment-provider pass-throughs and any negotiated volume terms.
Marketplace service fees apply only to completed SpenVest marketplace orders or bookings under the partner schedule. Reward funding is promotional value chosen by the funding partner and is accounted for separately from SpenVest service revenue.
8. Listing and partner standards
Partners must keep identity, registration, PAN/VAT where applicable, contact, price, tax, inventory, safety, accessibility and fulfilment information accurate. They must obtain all licences, permits, insurance and supplier authority required for the listing category.
Prohibited inventory includes unlawful, counterfeit, deceptive, unsafe or rights-infringing listings, financial products presented as rewards, and any listing that cannot be lawfully supplied in Nepal. Category-specific controls may add stricter requirements.
9. Payments and regulatory boundary
Unless a licensed provider integration is expressly identified at checkout, SpenVest does not initiate, hold or safeguard customer bank, wallet or card funds. External payment services are provided under their own terms. SpenVest does not represent itself as a bank, payment service provider or payment system operator.
Network reward accounting and merchant reimbursement records do not give a customer a cash balance or withdrawal right. Any future regulated payment function must be delivered through the required Nepal Rastra Bank authorisation or an appropriately licensed provider.
10. Consumer rights, privacy and records
Nothing in these policies excludes rights that cannot lawfully be excluded, including rights relating to accurate information, quality, fair pricing and remedy. Personal information is handled under the Privacy Policy.
Financial postings are retained as immutable accounting records. Corrections use reversals or adjustments so the original event, actor and reason remain auditable.
11. Controlled rollout
Marketplace categories may be visible before reward acceptance or automated settlement is enabled for every partner. The portal exposes capability status. Partners and customers must rely on the status and checkout terms shown for the specific transaction, not on a general marketing description.
